Terms and Conditions

Information Collected 
Issuer Direct Corporation ("ID"), pursuant to an agreement between its clients, partners and exchanges, provides a secure platform that includes a web-form, toll-free hotline that collects from employees, vendors, and other constituents information they wish to report. This information includes but is not limited to allegations of misconduct, questionable business practices, violations of a company's code of conduct or other events and behavior, which may result in harm, injury or liability. The information collected and submitted is forwarded, without review or modification by ID, to the client's designated contacts. 

Accuracy of Information
ID neither warrants, vouches for, nor authenticates the reliability of information collected. ID is not responsible for investigating or resolving the issues or concerns provided in a report. The client for which the information has been collected has the sole responsibility to evaluate the information and to comply with all local, state and federal laws pertaining to the investigation and protection of such information, as well as the protection of all rights of any person or persons accused of any wrongdoing. Submitting false or misleading information may lead to civil and criminal prosecution. 

Anonymity
If you wish for your company to contact you directly, you may provide your name and other contact information. If you choose to remain anonymous, please be careful not to include personally-identifying information. However, although you elect to remain anonymous, your identity may become known during an investigation of the information submitted. 

Cookies
Cookies are small bits of information a Web site sends to your computer while you are viewing that site. These pieces of information allow the Web site to remember important information that will make your use of that site more useful. ID and other Internet companies use cookies for a variety of purposes. For instance, we use cookies to remember information you have entered while you are completing a report. You can choose to have your computer warn you each time a cookie is being sent. You do this through your browser (like Firefox or Internet Explorer) settings. Each browser is a little different, so look at your browser Help menu to learn the correct way to modify your cookies. If you turn cookies off, you might not be able to submit a report. We do not store any permanent cookies on your machine.

Security
Maintaining the security of your information is of great concern to us. ID takes technical, contractual, administrative, and physical security steps to protect your information. All information is submitted over a secure socket layer (SSL) encrypted connection to protect its transmission, and then stored for compliance and investigation purposes on our platform.

Limitation of Liability
You expressly understand and agree that under no circumstances shall ID or its affiliated companies, partners or resellers be liable to any user on account of that user's use or misuse of and reliance on this service. Such limitation of liability shall apply to prevent recovery of direct, indirect, incidental, consequential, special, exemplary, and punitive damages. Such limitation of liability shall apply whether the damages arise from use or misuse of and reliance on the service, from inability to use the service, or from the interruption, suspension, or termination of the service. Under no circumstances shall ID or its affiliated companies, partners or resellers be held liable for any delay or failure in performance resulting directly or indirectly from acts of nature, forces, or causes beyond its reasonable control, including, without limitation, internet failures, computer equipment failures, telecommunication equipment failures, other equipment failures, electrical power failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, fires, floods, storms, explosions, acts of god, war, governmental actions, orders of domestic or foreign courts or tribunals, or on-performance of third parties.
